Terms and Conditions – Explosion Distributions

Welcome to Explosion Distributions, the wholesale and distribution division of Explosion Group, operated in Mexico by Explosion S.A. de C.V. and in the United States by Explosion LLC.

By creating a wholesale account, placing an order, or using the platform mayoreo.explosionshops.com.mx, you acknowledge and agree to the following Terms and Conditions. These terms govern all commercial relationships and transactions between Explosion Distributions and its clients.

Registered in Sheridan, Wyoming, USA.

Explosion Distributions and all its related entities are collectively referred to as “Explosion Group”, “we”, “our”, or “the Company”.

2️⃣ Business Relationship

Explosion Distributions operates exclusively under B2B (Business-to-Business) terms.
All clients must be verified retailers, distributors, or authorized resellers.

By purchasing from Explosion Distributions, you confirm that you are acting for commercial purposes only and not as a consumer.

Consumer protection laws applicable to retail transactions do not apply to B2B operations.

3️⃣ Orders and Acceptance

Orders are accepted only through official channels: mayoreo.explosionshops.com.mx, email confirmation, or written purchase orders.
All orders are subject to approval and product availability.
Explosion Distributions reserves the right to cancel or adjust any order due to inventory limitations, supplier delays, or compliance issues.
Once an order is confirmed and paid, it is final and non-cancellable (see Section 8).

4️⃣ Prices and Payment Terms

All prices are listed in MXN (Mexican Pesos) or USD (U.S. Dollars) depending on the operation.
Prices may change without prior notice until payment is received and confirmed.
Payment methods accepted: bank transfer, payment link, or approved gateway (Mercado Pago, Stripe, PayPal).
Orders are processed only after full payment confirmation.

Explosion Distributions reserves the right to withhold or delay shipments for outstanding balances or unverified payments.

5️⃣ The TMDI Clause

The TMDI (Tariff for Management, Distribution, and Intermediation) is a standard administrative and logistics fee applied to certain transactions between Explosion S.A. de C.V. and Explosion LLC.

The TMDI is not a tax, but a cross-border operational charge that covers management, logistics, and accounting costs.
The TMDI is non-refundable under any circumstance.
By placing an order, the client explicitly accepts the TMDI terms and authorizes its inclusion on the invoice or commercial documentation.

6️⃣ Shipping, Delivery, and Risk Transfer

All shipments are made using certified carriers such as DHL, FedEx, Estafeta, or UPS.
Shipping costs and insurance (if applicable) are the client’s responsibility unless otherwise stated.
Risk of loss or damage transfers to the client once the order is handed over to the carrier.
Explosion Distributions is not responsible for delivery delays or third-party carrier errors.

Clients are advised to inspect their packages immediately upon receipt and report any discrepancies within 48 hours.

7️⃣ Product Availability and Allocations

Product availability is based on inventory, allocations, and supplier confirmations.
Preorders and allocations are considered binding commitments and cannot be canceled or refunded.
Explosion Distributions reserves the right to adjust allocations based on supplier availability or import restrictions.

8️⃣ Final Sale Policy

All sales are final.
Explosion Distributions does not accept returns, refunds, or cancellations once payment is received.

In cases of confirmed missing or damaged items, a store credit (saldo a favor) will be issued for future use, as detailed in the Refund & Returns Policy.
Cash or direct refunds are never granted.

9️⃣ Store Credit (Saldo a Favor)

Credits are issued only after verification of the claim.
Credits can be used toward future purchases only and have no cash value.
Credits expire after 12 months unless otherwise specified.
Credits cannot be transferred or sold to third parties.

🔟 Fraud and Compliance

Explosion Distributions maintains a strict anti-fraud policy.
The Company reserves the right to suspend or terminate any account involved in:

False chargebacks or disputes,
Misrepresentation of business information,
Abuse of discounts or credit terms,
Unauthorized resale of restricted products.

All fraudulent activity will be reported to payment processors and applicable legal authorities.

1️⃣1️⃣ Intellectual Property

All names, logos, product images, and brands displayed on mayoreo.explosionshops.com.mx are the intellectual property of their respective owners and/or Explosion Group.

Clients are prohibited from:

Reproducing or modifying Explosion Group’s content without written permission.
Using Explosion trademarks or imagery for marketing without authorization.

1️⃣2️⃣ Limitation of Liability

Explosion Distributions shall not be held liable for:

Any indirect, incidental, or consequential damages arising from the use or inability to use its services.
Delays, customs holds, or shipping interruptions beyond its control.
Discrepancies caused by manufacturer changes or packaging updates.

In all cases, the Company’s liability shall not exceed the value of the affected order.

1️⃣3️⃣ Governing Law and Jurisdiction

All transactions are governed by the applicable laws of:

The United Mexican States, for operations under Explosion S.A. de C.V.
The State of Wyoming (USA), for transactions under Explosion LLC

Any dispute arising from these Terms shall be resolved exclusively by the courts of Ciudad Juárez, Chihuahua (Mexico) or Sheridan, Wyoming (USA), depending on the entity involved.

Explosion Distributions reserves the right to modify these Terms and Conditions at any time.

Your continued use of the platform or submission of new orders constitutes acceptance of any revised terms.
